Contractual Framework
General Terms
of Service.
These General Terms of Service (GTS) govern all commercial relationships between the consulting firm ZAYTUNAT ESSAADAOUI GROUP (ZEG) and its clients.
Purpose and Scope
These terms define the conditions for the execution of support, brand architecture, strategic consulting, or digitalization missions ordered from ZEG by the client. Any quote signature implies express and unconditional acceptance of these GTS.
Payment Terms
Payment for services is systematically made according to the following schedule, unless otherwise expressly stipulated in the quote or contract:
- —50% deposit: upon quote signature to validate the launch of work.
- —50% balance: upon final delivery of the service (before the delivery of source files or the final deployment of tools).
ZEG reserves the right to suspend any service in case of non-payment of the deposit or the agreed deadline.
Revision Policy
In the context of creating a visual identity, brand guidelines, or other creative deliverable, each quote includes:
- —An initial proposal submitted for client validation.
- —A defined number of correction rounds (generally 2 to 3 major revisions depending on the subscribed pack).
- —Any additional revision request not included in the initial quote will be subject to additional pricing.
Intellectual Property
Creations made by ZEG (logo, brand guidelines, website, strategy) remain the full property of ZEG until full payment of fees (deposit + balance). Once full payment is made, the client becomes the exclusive owner of the exploitation rights and final deliverables, according to the terms specified in the assignment contract. ZEG however retains the right to use the creations for self-promotion purposes (portfolio, case studies).
Confidentiality
ZEG commits to treating with the utmost confidentiality all information communicated by the client in the execution of its mission, from the Flash Audit phase to the completion of the support programme.
Applicable Law and Competent Jurisdiction
Any dispute relating to the interpretation, execution, or termination of a contract concluded with ZEG shall be governed by Moroccan law. In the absence of an amicable agreement between the parties, any dispute shall be brought exclusively before the Commercial Court of Meknes.
